Terms and Condition

The following Terms and Conditions ("Terms") govern all use of our services and constitute an agreement between you (the "Customer") and The Markworth Group Limited (the "Company", "we", "us", "our"), providing Odoo implementation, Odoo accounting outsourcing, Odoo HR outsourcing, Odoo Marketing outsourcing, and Corporate Services.


By using our services, you agree to these Terms. If you do not agree to these Terms, do not use our services.


## 1. Services

1.1 We offer services including but not limited to Odoo implementation, Odoo accounting outsourcing, Odoo HR outsourcing, Odoo Marketing outsourcing, and Corporate Services (the "Services"). All Services are provided as described on the Company's website and according to the specifications of each Service.

1.2 These Terms and Conditions are in place not just to protect the Company and our staff, but also to safeguard the integrity and quality of our Services. They apply to all current services we provide, as well as any future developed services and additional services that we may provide. By agreeing to these Terms, you acknowledge the importance of these protections and agree to abide by them.

1.3 The Company reserves the right to modify the Services or add new services at any time. Any such changes or additions will be subject to these Terms.

1.4 The Company ensures that all Services are delivered in a professional manner according to industry standards. We strive for customer satisfaction and will make reasonable efforts to meet your expectations.


## 2. Payment

2.1 The Service fee will be as per the quotation provided to the Customer. The Customer agrees to pay the full service fee in advance of the Company providing the Services, unless otherwise mutually agreed upon and stated in the quotation.

2.2 All payments are due upon receipt of the invoice. In the case of late payment, we reserve the right to suspend or terminate the provision of Services.

2.3 All payments shall be in the currency specified in the quotation.

2.4 Any dispute regarding any charge must be communicated to the Company within ten working days of the billing date. After such a period, you will not have any right to dispute any charges applied to your account.

2.5 The Customer is responsible for any taxes, including sales, use, personal property, value-added, excise, customs fees, import duties or stamp duties or other taxes and duties imposed by governmental entities of whatever kind with respect to the Services, except for taxes based on the net income of the Company.


## 3. Term and Termination

3.1 These Terms will remain in effect until terminated by either the Customer or the Company. The Company reserves the right to terminate these Terms at any time without notice.


## 4. Confidentiality

4.1 Both parties agree to keep all information confidential, unless required by law to disclose it. The Company commits to maintaining the confidentiality of all information contained within the Customer's Odoo database. We will carry out maintenance work as necessary, but will not disclose or extract information from the Customer's database.

4.2 The Company further commits to not disclose any Customer's information to any competitors, even if both are clients of the Company. The Company adheres to strict professional standards of confidentiality and integrity in all its dealings with its clients.

4.3 Any breach of these confidentiality provisions by the Company's employees, contractors or agents will be taken seriously and addressed promptly, with appropriate corrective action taken, which may include legal action.


## 5. Intellectual Property Rights

5.1 All intellectual property rights in the Services, including but not limited to the Company's name, logo, software, documentation, graphics, and other content, remain the exclusive property of the Company or its licensors.

5.2 The Customer is expressly prohibited from reselling the Services provided by the Company or using the Company's name or logo in any way not expressly authorized by these Terms or by a separate written agreement with the Company.

5.3 The Customer or any partner of the Customer is strictly prohibited from branding themselves as part of the Markworth Group in any manner, whether explicitly or implicitly, without the express written permission of the Company.

5.4 Any unauthorized use of the Company's intellectual property rights is a violation of these Terms and may constitute a violation of copyright, trademark, and/or other laws. Any such unauthorized use may result in legal action by the Company.


## 6. Limitation of Liability

6.1 The Company is primarily a service provider and as such, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, as a result of using the Services. Any financial performance, profits, or losses experienced by the Customer's business is beyond the scope of the Company's responsibilities and is not linked to our provision of Services.

## 7. Governing Law


7.1 These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region.


7.2 In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through friendly consultation.


7.3 If the dispute cannot be resolved through friendly consultation, the parties agree to submit the dispute to the exclusive jurisdiction of the courts of Hong Kong Special Administrative Region.


## 8. Changes to these Terms


8.1 We may update our Terms from time to time. We will notify you of any changes by posting the new Terms on this page.

8.2 You are advised to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.

8.3 Your continued use of the Services after we post any modifications to the Terms on this page will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms.
